Contractor will have the right to stop work and keep the Construction Project idle if payments are not made to Contractor when due. If the work is stopped for such reason for a period exceeding stop days without payments being made, Owner shall be deemed to be in default and Contractor may, at its option, make a final demand for all payments due and owing, and any additional expenditures for work performed, materials ordered or supplied, or any other loss sustained.
If payment is not made within number days thereafter, Contractor will be entitled to all legal remedies for breach of this Construction Contract. This Construction Contract is not contingent on the Owner obtaining a construction loan as follows: financing conditions on or before the contingency deadline. The owner will provide notice to the Contractor when the construction loan has been approved.

The Contractor will also obtain and pay the fees for the governmental inspections if necessary. The Contractor should provide and pay for all labor and types of equipment which includes construction tools, machinery, and transportation. The Contractor shall be responsible for supervising, managing and completing all construction services under this Agreement.
The Contractor shall be responsible for keeping all record of documents in a safe place at the property.
The contractor should store these documents in safe storage as it will be presented to the owner once work has been completed. The Contractor shall be responsible for taking all precautions for the safety of its employees and the public at the property. The contractor must take full responsibility for the acts or negligence of its employees. The contractor is also responsible for training its employees about the Occupational Safety and Health Regulation to give knowledge on how to handle emergencies and accidents in the workplace.
The Contractor should give a guarantee to the Owner that all work will be in accordance with the Contract Documents. Any issues caused by defective materials or equipment for a period of ten years, the contractor shall redo or repair it.
The Contractor shall provide skilled and competent staff suitable to do the work and should maintain discipline and order at the Property. The Contractor shall be responsible for maintaining the Property clean and keeping it free from waste and hazardous materials. If hazardous materials or substance were noticed in the Property such as dangerous chemicals, contaminants or any toxic substances, the Contractor shall be responsible for notifying the Owner immediately.
The contractor is also responsible for training their employees about handling hazardous materials and substances in a correct and safe manner. Any sickness, damages, loss of employees that was caused by these hazardous materials shall be handled by the Contractor. The Contractor will be responsible for purchasing and maintaining an appropriate insurance policy for the construction. The Owner agrees to maintain insurance covering the replacement cost in the event of loss through fire, casualty, an act of nature, and theft.
The Contractor should indemnify and hold harmless and its employees against all liability, claims, demands, expenses, on account of any loss, damage or injury. The Contractor agrees to be responsible for providing defense against such liability, claims or demands.
This Contract can only be changed or modified through writing and shall be signed by the parties involved. This Contract shall be governed under the laws of United States. We, the undersigned, hereby agreed that we have read and acknowledged this contract bounded by its terms and conditions.
